Every ten (10) years, the Pennsylvania Department of State, Corporation Bureau (DOS), requires that any corporation, limited liability company, limited partnership, or other entity or association file a Decennial Report with the DOS.  You may have received a notice from the DOS already.  This Decennial Report must be filed before December 31, 2011.  If you fail to file the Report, the entity or association will not be considered registered by the DOS and the name of the entity or association will become available for use by someone else.  There are several exceptions to the need to file the Decennial Report, including if the entity or association filed certain other reports with the DOS or filed officer information with the Pennsylvania Department of Revenue from January 1, 2002 to December 31, 2011.

This is an important filing that you do not wish to miss, and you should file a Decennial Report even if you have not received the notice from the DOS (unless an exception applies).  If you have any question about the need to file a Decennial Report or would like us to file the Decennial Report for you, please contact us.
